Terms of Service

1. Introduction

These Terms of Service govern your use of the Clifton Products website and any enquiries, quotations, orders, products or services provided by CLF Paper Products CC, trading as Clifton Products (“Clifton Products”, “we”, “us” or “our”).

By using this website, requesting a quotation, placing an order or otherwise dealing with us, you agree to these Terms of Service.

2. Our products and services

Clifton Products manufactures custom paper and board packaging and related printed products.

Because many of our products are made to order, specifications may vary according to the customer’s requirements, including size, material, printing, finishing, quantity and intended use.

Images, samples and descriptions on our website are for general illustration and may not represent the exact appearance of a finished custom product.

3. Quotations

Quotations are based on the information available at the time they are issued and may include assumptions regarding:

dimensions;
materials;
quantities;
printing;
finishing;
artwork;
delivery requirements; and
production specifications.

A quotation may be revised if the specification changes or if information supplied to us is incomplete or inaccurate.

Unless otherwise stated, quotations are valid for the period indicated on the quotation.

4. Orders and acceptance

An order is only considered accepted once Clifton Products has confirmed acceptance of the order and any applicable payment or credit requirements have been satisfied.

We reserve the right to decline an order where:

the specification cannot reasonably be produced;
required materials are unavailable;
the customer has not supplied the necessary information or artwork;
credit or payment requirements have not been met; or
circumstances outside our reasonable control make production impractical.

5. Artwork and customer-supplied information

Customers are responsible for ensuring that all artwork, logos, trademarks, text, dimensions and other information supplied to us are correct and may lawfully be used.

Clifton Products is not responsible for errors in customer-supplied artwork or information that has been approved for production.

Where proofs or samples are supplied for approval, production may proceed once approval has been received.

6. Colour and production tolerances

Printing and packaging manufacturing are subject to normal production tolerances.

Reasonable variation may occur in areas such as:

colour;
shade;
paper and board appearance;
dimensions;
registration;
finishing;
cutting;
folding; and
assembly.

Colours displayed on screens or digital proofs may differ from final printed results.

Unless otherwise agreed in writing, minor production variations that fall within normal industry tolerances will not constitute a defect.

7. Quantities

Custom manufacturing may result in reasonable over-runs or under-runs due to normal production processes.

Where this is relevant, invoicing may be based on the actual quantity produced or supplied, subject to the terms of the quotation or order confirmation.

8. Pricing and payment

Prices are subject to the quotation or agreed order terms.

Unless otherwise stated, prices may exclude delivery, special tooling, artwork preparation, taxes or other additional costs specifically identified during the quotation process.

Payment terms will be stated on the quotation, invoice or account agreement.

We may suspend production or delivery if payment obligations are not met.

9. Delivery

Any production or delivery dates provided are estimates unless expressly agreed otherwise in writing.

We will make reasonable efforts to meet agreed timelines, but Clifton Products is not liable for delays caused by circumstances beyond our reasonable control, including:

supplier delays;
material shortages;
machinery failure;
transport disruption;
power interruptions;
strikes;
natural disasters;
government action; or
other events outside our reasonable control.

Risk in goods may pass in accordance with the agreed delivery terms.

10. Inspection and claims

Customers should inspect goods as soon as reasonably possible after delivery.

Any apparent shortage, damage or manufacturing issue should be reported to Clifton Products promptly, together with sufficient information for us to investigate the matter.

Where a valid manufacturing defect is established, our remedy may include, at our discretion:

repair;
replacement;
re-manufacture;
credit; or
another reasonable solution.

11. Custom-made products and cancellations

Because many of our products are manufactured specifically to customer requirements, orders may not be cancellable once materials have been ordered, tooling has been produced or manufacturing has commenced.

Where cancellation is accepted, the customer may remain responsible for costs already incurred.

Custom-manufactured goods may not ordinarily be returnable merely because the customer changes their mind.

12. Intellectual property

All intellectual property owned by Clifton Products remains our property.

This includes, where applicable:

website content;
designs created by Clifton Products;
production methods;
templates;
drawings;
technical information; and
other proprietary material.

Customer-owned artwork, logos and trademarks remain the property of the customer or their respective owner.

Nothing in these Terms transfers ownership of intellectual property unless expressly agreed in writing.

13. Website use

You may use our website for lawful purposes only.

You may not:

attempt to gain unauthorised access to the website or its systems;
interfere with website security or functionality;
upload malicious code;
misuse forms or communication facilities;
scrape or reproduce website content unlawfully; or
use the website in a way that infringes the rights of others.

14. Website information

We take reasonable care to keep website information accurate and current, but we do not guarantee that all website content is complete, error-free or continuously available.

Product images, descriptions, specifications and examples may change without notice.

Information on the website does not constitute a binding quotation unless expressly stated otherwise.

15. Limitation of liability

To the extent permitted by law, Clifton Products will not be liable for indirect, incidental, special or consequential losses arising from the use of this website or from products or services supplied by us.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

16. Third-party links

Our website may contain links to third-party websites.

These links are provided for convenience only. Clifton Products is not responsible for the content, security, availability or privacy practices of third-party websites.

17. Privacy

Personal information is processed in accordance with our Privacy Policy and applicable South African law, including the Protection of Personal Information Act.
